Terms of Service

1. The Service

Nexora Corporate is a software platform that helps businesses in the United Arab Emirates manage corporate compliance. It provides tools including a compliance calendar and reminders, a document vault, bilingual (Arabic and English) document generation, an AI document analyzer and compliance assistant, a multi-entity dashboard, MOHRE/WPS labour-compliance features, and a UAE Corporate Tax estimator with optional accounting integrations.

The Service provides software tools and templates only. It is not a government service and does not submit filings on your behalf.

2. Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be authorised to act for any business you add to the Service.

3. Subscriptions, free trial and billing

The Service is offered on subscription tiers (Basic, Professional and Premium), with monthly or annual billing. New accounts include a 7-day free trial; if you do not subscribe before the trial ends, feature access is paused until you choose a paid plan.

Subscription payments are processed by our payment provider, Stripe. By subscribing, you authorise us, through Stripe, to charge your chosen payment method on a recurring basis until you cancel. Fees are stated in UAE Dirhams (AED) and, unless stated otherwise, are exclusive of any applicable taxes.

You can cancel your subscription at any time; cancellation takes effect at the end of your current billing period, and you will retain access until then. Except where required by law, payments already made are non-refundable.

4. Acceptable use

When using the Service, you agree not to:

• Break any applicable law, or infringe the rights of others.
• Upload content you have no right to upload, or that is unlawful or harmful.
• Attempt to gain unauthorised access to the Service, other accounts, or our systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, resell or misuse the Service except as permitted by these Terms.

5. Accounting integrations and third-party services

You may connect third-party accounting tools (Zoho Books, Xero or QuickBooks) to import financial figures on a read-only basis, as described in our Privacy Policy. Your use of those third-party services is governed by their own terms and privacy policies. We access their data only as you authorise, use it solely to produce your tax estimate, and stop when you disconnect.

The Service also relies on third-party providers (including Stripe, Supabase, Anthropic, Resend, Google Analytics and Vercel) to function.

6. Intellectual property

The Service, including its software, design, and content we provide (excluding your data), is owned by Nexora Corporate and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data and documents you upload or create; you grant us the limited right to process them in order to provide the Service to you.

7. Not legal or tax advice

Nexora Corporate provides software tools and document templates, not legal or tax advice. The compliance dates, calculations, tax estimates, health scores and generated documents are aids based on the information you provide and general rules; they may not fit your specific situation and may not always be current or complete.

We are not affiliated with, and do not integrate directly with, any UAE government portal (including the Federal Tax Authority / EmaraTax, MOHRE, or any free-zone or licensing authority). You are responsible for verifying every deadline, calculation and document with a qualified professional and for making your own filings and payments through the official government channels.

8. Warranty disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any result or estimate it produces is accurate or complete.

9. Limitation of liability

To the maximum extent permitted by law, Nexora Corporate will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Service — including any penalty, fine or missed deadline. To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim.

10. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.

11. Changes to the Service and these Terms

We may update the Service and these Terms from time to time. When we change these Terms, we will update the "Last updated" date above, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and you agree to the exclusive jurisdiction of the courts of Dubai for any dispute that cannot be resolved amicably.
